Market News: NSE Gets SEBI Nod for ₹30,000 Crore IPO

NSE Gets SEBI Nod for ₹30,000 Crore IPO
The proposed NSE IPO will be entirely an offer for sale of up to 14.89 crore shares, representing about 6% of the exchange’s paid-up equity.

The National Stock Exchange of India (NSE) has received regulatory approval to proceed with its proposed ₹30,000 crore initial public offering (IPO), marking a major step toward its long-awaited stock-market listing.

The Securities and Exchange Board of India (SEBI) has issued its letter of observation for NSE’s Draft Red Herring Prospectus (DRHP). This clears an important regulatory hurdle, although the final issue size, price band and launch schedule are yet to be formally announced.

NSE had filed its DRHP on June 17, 2026. Its earlier plans to go public had been delayed for nearly a decade amid regulatory and legal issues.

The proposed IPO will be entirely an Offer for Sale (OFS). Existing shareholders plan to sell up to 14.89 crore equity shares, equal to approximately 6% of NSE’s paid-up equity capital. Since there is no fresh issue of shares, NSE itself will not receive money from the IPO.

The SBI Group is expected to be the largest seller, offering up to 2.475 crore shares. Other major shareholders participating in the OFS include MS Strategic (Mauritius), Canada Pension Plan Investment Board, Aranda Investments, Bank of Baroda and Stock Holding Corporation of India.

At an estimated issue size of around ₹30,000 crore, the NSE IPO could become India’s second-largest IPO, behind the proposed Jio Platforms issue. The final ranking will depend on the actual price and issue size announced before the IPO.

The exchange is one of India’s major capital-market institutions and operates the Nifty 50 benchmark index. It also has a dominant position in India’s equity derivatives market.

The SEBI approval brings NSE closer to becoming a publicly listed company after years of regulatory scrutiny. The exchange must still complete the remaining IPO procedures before its shares can be offered to public investors.
